What was announced
On October 20, 2026, H.I.G. WhiteHorse, the credit affiliate of H.I.G. Capital, said it had arranged a debt package to finance QualityHosting's acquisition of Be-Cloud. QualityHosting is a portfolio company of PSG Equity. The financing also provides additional capital for the combined company's future growth and M&A strategy.
The announcement leaves out the financing amount, pricing, maturity, lender group and covenants. It calls the financing only a "debt package." Any figure you see attached to this deal is not from H.I.G.
This financing funds a deal that was already public
The October 20 release is the funding step. The combination itself was announced on October 14. According to Clipperton, which advised PSG Equity, the transaction creates a cloud services delivery platform serving about 50,000 SMB customers and more than 2,000 partners across France, DACH and the Benelux region.
B & Capital, Be-Cloud's minority investor, says nothing here is new in the sense of surprise: it announced its exit the same day. It describes the combined group as having €92 million in revenue. It also says QualityHosting has been owned by PSG Equity since October 2025. A separate Business Wire release from October 2025 confirms PSG's investment in QualityHosting. That release put QualityHosting's base at over 15,000 SMB end customers and more than 1,000 partners.
H.I.G.'s October 2026 release instead cites more than 30,000 end customers. These figures come from different releases and may be counted differently. I can't reconcile them from the evidence, so treat each as a company claim.
Who the two companies are
Be-Cloud was founded in 2012. H.I.G. describes it as a Microsoft CSP and value-added distributor. Its listed Microsoft competencies include Microsoft 365, Azure IaaS and PaaS, Dynamics 365, Power BI and Power Apps/Power Automate. H.I.G. cites more than 37,500 active end customers and over 1,000 resellers and MSP partners. It also calls Be-Cloud a "Top 30 EMEA Microsoft CSP." That ranking comes from the lender and has not been independently audited.
QualityHosting was founded in 1998 and is based in Gelnhausen, Germany. It became Germany's first Microsoft CSP in 2014 and runs a highly automated proprietary platform spanning Microsoft 365, Azure, security and compliance. Its own profile mentions proprietary offerings such as Managed Security 365. It also claims to be the market leader in Hosted Exchange in Germany, Austria and Switzerland. That is its own claim, not an independent market-share finding.
Why a lender cares
H.I.G.'s Pascal Meysson says the two businesses combine a recurring-revenue model with a differentiated position in the Microsoft ecosystem. He added that the newly combined group is well positioned to benefit from continued cloud, AI and cybersecurity adoption. That is the lender's investment rationale, not neutral analysis.
Some context from general industry knowledge:
- CSPs bill customers monthly or annually for Microsoft subscriptions, so their revenue is predictable. That is what lenders like to see.
- Scale helps in a low-margin distribution business, because services such as managed security add the margin.
- Dealroom reads the deal as part of ongoing consolidation among European cloud and IT services providers.
- The debt package is meant to fund more acquisitions as well as this one. The group has said it plans to expand through organic growth and M&A.
What this means for customers and partners
The announced position is continuity. Be-Cloud's founder Lenny Vercruysse said customers will keep the teams they know and trust, and gain access over time to the combined group's broader capabilities. B & Capital says customers and partners will keep their current contacts. Founders Lenny Vercruysse and Christian Heit will continue to lead the group.
The announcements do not say any of the following:
- a platform migration schedule
- changes to contracts, billing or support terms
- changes to product availability
- how data handling or tenants might be affected
No action is required based on what has been published. The group's own description of the strategic fit points toward Be-Cloud's sales network and partner base combined with QualityHosting's automation platform. Whether that leads to shared tooling is not yet documented.
What to watch
If you are an MSP or reseller partnered with either firm, these are the questions worth asking your account contact:
- Will your partner agreement, pricing or portal change?
- Will your customers' Microsoft tenants or billing relationships move between legal entities?
- Will support be consolidated across regions?
- Will acquisitions bring new service offerings, or retire existing ones?
Treat these as questions to ask, not predictions. The published material only commits to continuity and growth.
Bottom line
This is a financing and consolidation story in the Microsoft partner channel, not a Windows or Microsoft licensing change. The confirmed facts are a lender-arranged debt package, an acquisition announced on October 14, and stated plans for expansion in cloud, cybersecurity and AI. The financial terms are undisclosed, and so are any integration plans that would affect customers.
