Windows 7 Cannot open downloaded Excel spreadsheet

When I download an Excel spreadsheet in Win 7 64bit, Excel 2007 cannot read the spreadsheet.
If I download the same spreadsheet on a XP machine with Excel 2007 I can read the spreadsheet.
