If you have not previously downloaded Win 8 Pro (prior to Feb. 1st) then the $39.99 offer is no longer available. This was a special offer that ended on Jan. 31st.
If you had previously purchased the Upgrade for $39.99, but did not use the Install bu creating media option then kemical's method should work.

I think it depends on what computer you have. As I understand it, if you bought a Windows 7 computer between Jun 2nd., until 31st Jan, then the upgrade is available until the end of February, for .$14.99.

But you have to prove where you bought the computer, and supply your key!
Maybe you are one of the qualifiers?
