Windows 7 Password Protecting a Folder

Hey guys,

I have a Folder

I want to lock and password protect it.

Does anybody here know how?

No one should be able to access the folder
without a password, therefore they can't
cut nor copy it.

But what's more important is I have a
software inside the folder and it has a
shortcut in the desktop, and I want that
shortcut to still work.
